All Affiliates registered in the Avangate Affiliate Program who comply with the rules mentioned below are automatically registered and eligible for the Avangate Affiliate Contest ("Contest"). The Avangate Affiliate Contest is a special and limited marketing program organized by Verifone Payments BV (formerly known as Avangate BV, hereinafter "Avangate"), a Netherlands company that allows the Affiliates to participate and win prices according to the following rules:

1. Contest Period and Eligibility

1.1 The Contest is open to all affiliates registered in the Avangate Affiliate Program.

1.2 The Contest will be valid in the following period November 24th, 2023 00:00:00 GMT (the "Starting Date") and January 31st, 2024 23:59:59 GMT (the "Closing Date"), altogether and hereinafter called the "Contest Period" (November 24th, 2023 to January 31st, 2024).

1.3 All Avangate registered and approved affiliates by Closing Date are eligible to participate to this Contest. Even if an affiliate registers after the starting date, all sales during the contest period will be taken into consideration.

2. Winners

2.1 There will be 3 (three) categories of Winners for this Contest:

• 1st Place - the affiliate with the highest incremental increase in total sales volumes during the Contest Period. Only the sales registered in the mentioned time-frame will be taken into consideration
• 2nd Place - dormant affiliate ("dormant"= no sale in the last 6 months prior to the Starting Date) with at least one sale during Contest Period - the winner will be selected via random.org
• 3rd Place - new affiliate registered within the Contest Period with at least 1 sale during the Contest Period - the winner will be selected via random.org

3. The Prizes

3.1 The Prizes will be as follows:

• 1st prize: "Highest Incremental" - $1,500 Amazon eGift Card - for the affiliate with the highest incremental increase in sales volumes during contest period
• 2nd prize: "Dormant" - $1,000 Amazon eGift - for a dormant affiliate (no sale in the past 6 months prior to the Starting Date) with at least one sale during contest period
• 3rd prize: "New" - $500 Amazon eGift Card - for a new affiliate (affiliate who registers in the Avangate Affiliate Program during Contest Period) with at least one sale during contest period

If the winners announced by February 29th, 2024 fail to confirm by March 15th, 2024 Avangate has the right to pick the next ones based on the specified winning criteria. All prizes will be delivered as agreed by March 30th, 2024. If for some reason Avangate cannot contact and confirm a winner by April 15th, 2024 the prize may be kept by Avangate and redistributed in the next contests.

4. Miscellaneous

4.1 The winner(s) agree to participate in any publicity or other such promotional activities which Avangate may reasonably require in connection with the Contest and Avangate shall have the right to use each winner's name, likeness, image, voice, biographical information and website for advertising and promotional purposes in connection with the Contest in all media without further notice and without the need to make any payment to any winner for such use.

4.2 The participation of an Affiliate in the Contest may be terminated and the Affiliate disqualified at any time by Avangate with a prior written noticed via email due to breach of the Affiliate Program Terms and Conditions at Avangate discretion.

4.3 The law applicable is the Netherlands law and all and any disputes will be settling at the competent courts in Amsterdam, The Netherlands.
